Tata Sons inferno: Affirmative support of their directors essential, say Tata Trusts

On September 17, 2026, a Tata Trusts director voted against the resolution and thus the affirmative support of Tata Trusts Nominee Directors as mandated by the AoA was not obtained leading to the failure of the condition and thereby the resolution. This has been the core argument of the Tata Trusts.

Kolkata: The Tata Sons inferno rages on with the Tata Trusts pointing out that board meeting that extended the term of Tata Sons chairman N Chandrasekharan by another five years and signalled preparations for an IPO of the holding company of the group cannot be valid since the Articles of Association clearly lays down that an affirmative support is needed from the Tata Trusts-nominated directors and nothing is valid if this this condition is not met.

Earlier, too, the Tata Trusts argued that N Chandrasekaran on August 12 to resign and not seek reappointment “has been duly accepted and has attained finality”.
